Introducer Terms

Scope

These Terms of Business (“Terms“) govern all introductions (“Introductions“) made by the Introducer (as defined below) to Inspire Group Investments Ltd or its affiliates (“InspireMatch“). By submitting an Introduction, the Introducer agrees to these Terms.

Actual funding levels, terms, and applicable charges will be clarified in a formal Offer Letter once we receive your complete information and complete our underwriting processes.

Definitions

In these Terms, unless the context requires otherwise:

  • “Agreement”: These Terms, the Letter of Appointment, and any attached Schedules.

  • “Applicable Contract”: A contract between InspireMatch and a Prospective Client introduced by the Introducer.

  • “Business Day”: A weekday (excluding weekends/bank holidays) when banks in London are open.

  • “Commencement Date”: The date the application is accepted by InspireMatch.

  • “Confidential Information”: Non-public business, customer, or operational data disclosed under this Agreement.

  • “Data Protection Laws”: UK GDPR, Data Protection Act 2018, and Privacy and Electronic Communications Regulations (PECR).

  • “Introducer”: The entity/person named in the Application.

  • “Introduction”: Submission of a Prospective Client’s details to Inspire Funding.

  • “Introduction Fee”: Fees payable to the Introducer.

  • “Prospective Client”: Any entity/person not currently engaged with InspireMatch.

  • “Term”: The duration of this Agreement (per Clause 12).

  • “Territory”: United Kingdom.

Introducers Authority & Obligations

No Binding Authority: The Introducer cannot legally bind InspireMatch or incur liabilities on its behalf.
Brand Usage: InspireMatch trademarks/logos may only be used with prior written consent.
Transparency: The Introducer must disclose its role as an independent introducer for InspireMatch.
Accurate Representations: All claims about InspireMatch’s services must align with its official materials.
Compliance: The Introducer shall adhere to all applicable UK laws, including FCA regulations (if relevant), and InspireMatch’s policies.

  • You download to a single personal device.
  • You create no more than one printed copy of any downloaded material and make no additional copies.
  • Use of downloaded material is strictly for personal, non-commercial purposes, and all copyright notices are retained.
  • Other than as expressly permitted, you may not copy, reproduce, distribute, modify, or use the Content in any other way. It is strictly prohibited to use this website or its contents to create any form of database, store the website in databases for external access, or distribute it through any medium (including over-the-air broadcast or computer network).

Introductions Process

Introductions: Introductions may be made using the partner portal, email or WhatsApp

Required Details: The Introducer must:

  • Provide the prospective Client’s legal name, contact details, and business nature.

  • Ensure the Client is aware of the intent to share their data (per Data Protection Laws).

No Obligation: InspireMatch may reject any Introduction at its discretion.
Fee Disclosure: InspireMatch reserves the right to disclose Introduction Fees to Prospective Clients.

Fees & Payment

Fee Structure: As specified in the Letter of Appointment.
Payment Terms: Inspire Match will pay valid invoices via bank transfer within 10 Business Days once due. Payment will be made to the configured payment account.
Continued Fees: Fees accrue while the Applicable Contract remains active.
Clawback: If an Applicable Contract terminates within 6 months, Inspire Funding may recover upfront fees.

Anti-bribery & Corruption

The Introducer shall:

  • Comply with the Bribery Act 2010.

  • Not offer gifts/hospitality that could imply undue influence.

  • Report any suspected bribery to Inspire Match immediately.

Data Protection & Confidentiality

GDPR Compliance: Both parties shall process Personal Data in line with Data Protection Laws.
Confidentiality: Neither party shall disclose the other’s Confidential Information without prior written consent.

Termination

Either party may terminate this Agreement with 30 days’ written notice.
Surviving clauses (e.g., fees, confidentiality) remain enforceable post-termination

Post termination no further fees shall be payable to the Introducer even if Introductions remain active.

Governing Law & Disputes

These Terms are governed by English law.
Disputes shall be resolved in the courts of England and Wales.

Miscellaneous

  • Amendments: InspireMatch reserve the right to amend these terms as necessary.

  • Waiver: No failure to enforce a term constitutes a waiver.
